What Is a Draft Contract (Sopimusluonnos, Finland)?

This is a Finnish procurement term. A draft of the future procurement contract, included among the procurement documents.

Why is the draft contract included in the tender documents?

So bidders can price the actual terms they will be bound by: liability, penalties, service levels, pricing mechanisms and termination rights. The contract that is signed is normally the draft, unchanged.

Can the terms be negotiated?

In an open procedure, generally not. The draft is a fixed condition of the tender. If a term is unworkable, raise it as a clarification question during the tender period, as that is the only point at which it can realistically be changed.

What should a supplier look at first?

The clauses that carry real money: liquidated damages, liability caps, price adjustment, volume commitments and contract length. These decide whether the contract is worth bidding for at the price you were planning.
